Terms of Service for ParkChain

1 Acceptance of Terms

By downloading, accessing, or using the ParkChain mobile application and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you and ParkChain, Inc. ("ParkChain", "we", "us", or "our").

2 Eligibility

To use ParkChain, you must meet the following requirements:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• For drivers: Possess a valid driver's license
• For spot owners: Have legal right to rent the parking spaces listed
• Not be prohibited from using the Service under applicable laws

3 User Responsibilities

All Users Agree To:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Comply with all applicable laws and regulations
• Treat other users with respect and courtesy

Drivers Specifically Agree To:

• Park only in reserved spots during booked times
• Follow all posted parking rules and restrictions
• Leave spots clean and undamaged
• Pay all fees promptly and in full
• Not exceed the booked time without extension
• Respect private property and neighborhood rules

Spot Owners Specifically Agree To:

• Ensure availability during confirmed bookings
• Provide accurate descriptions and photos of spots
• Maintain safe and accessible parking conditions
• Honor all confirmed reservations
• Not discriminate against users
• Comply with local zoning and rental regulations

4 Fees and Payments

Service Fees

Payment Terms

• All fees are non-refundable except as provided in our cancellation policy
• Prices are set by spot owners and may vary
• Payments are processed securely via Stripe
• Funds are held in your ParkChain wallet for convenience
• Premium subscriptions auto-renew monthly

5 Cancellation Policy

For Drivers

• 24+ hours before: Full refund to wallet
• 2-24 hours before: 50% refund to wallet
• Less than 2 hours: No refund
• Emergency situations may be reviewed on a case-by-case basis

For Spot Owners

• Cancelling confirmed bookings may result in penalties
• Repeated cancellations may lead to account suspension
• Emergency cancellations must be reported immediately

6 Prohibited Activities

• Creating false or misleading listings
• Harassment, discrimination, or abusive behavior toward other users
• Illegal activities or use of parking spaces for illegal purposes
• Circumventing the payment system for direct transactions
• Impersonating others or creating fake accounts
• Attempting to hack, disrupt, or damage the Service
• Using the Service for commercial purposes without authorization
• Violating intellectual property rights
• Posting inappropriate, offensive, or harmful content
• Manipulating reviews or ratings

7 Liability Limitations

ParkChain as a Marketplace

ParkChain operates as a peer-to-peer marketplace platform. We facilitate connections between drivers and parking spot owners but:

• We do not own, operate, or control parking spaces
• We are not responsible for the actions of users
• We do not guarantee parking availability or quality
• Users interact and transact at their own risk

No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARKCHAIN SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Personal injury or property damage
• Unauthorized access to or alteration of your data
• Any damages exceeding the fees paid to us in the past 12 months

8 Dispute Resolution

Between Users

ParkChain may, but is not obligated to, assist in resolving disputes between users. We encourage users to:

1. First attempt to resolve issues directly through in-app messaging
2. Report unresolved issues through our support system
3. Provide documentation and evidence when reporting disputes

With ParkChain

Any disputes with ParkChain will be resolved through:

1. Informal negotiation (contact legal@parkchain.app)
2. If unsuccessful, binding arbitration under AAA rules
3. Arbitration will be conducted in San Francisco, California

9 Account Termination

Voluntary Termination

You may close your account at any time through the app settings. Upon closure:

• Active bookings must be completed or cancelled per policy
• Remaining wallet balance will be refunded
• Your data will be handled per our Privacy Policy

Termination by ParkChain

We reserve the right to suspend or terminate accounts for:

• Violation of these Terms of Service
• Illegal or fraudulent activities
• Repeated policy violations or user complaints
• Non-payment of fees
• Extended periods of inactivity (with notice)

10 Intellectual Property

All content, features, and functionality of ParkChain are owned by ParkChain, Inc. and are protected by international copyright, trademark, and other intellectual property laws.

User Content License

By posting content on ParkChain, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with the Service.

11 Changes to Terms

We may modify these Terms at any time. Changes will be effective upon:

• Posting the updated Terms in the app
• Notification via email for material changes
• Your continued use after notification constitutes acceptance

If you disagree with changes, you should discontinue use of the Service.

12 Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict of law principles. Any legal proceedings shall be brought exclusively in the courts of San Francisco, California.

13 Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ParkChain.

Severability

If any provision is found unenforceable, the remaining provisions will continue in full effect.

Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights to any successor or acquirer.
