By downloading, installing, or using TradeMetrix ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these Terms, please don't use our App.

These Terms constitute a legal agreement between you and TradeMetrix ("we," "us," or "our"). They apply to your use of the App, our website, and any related analytics services.

Updates to Terms

We may modify these Terms at any time. Significant changes will be communicated through the App and via email at least 30 days in advance. Continued use of TradeMetrix after changes take effect constitutes acceptance of the updated Terms.

TradeMetrix is a trading analytics and journaling platform that offers:

• Trade tracking and performance analytics
• Advanced trading journal with screenshot capabilities
• Real-time P&L calculations and reporting
• Broker API integration for automatic trade import
• Economic calendar and market news integration
• Data export capabilities (CSV/PDF)
• Performance reporting and statistical analysis

What TradeMetrix Does NOT Provide

• Investment advice or trading recommendations
• Broker services or trade execution
• Guaranteed trading profits or success
• Tax advice or preparation services
• Legal or regulatory compliance advice

⚠️ Trading Disclaimers

Risk Disclosure

Trading in financial markets involves substantial risk of loss and is not suitable for everyone. Before using TradeMetrix for trade analysis, consider the following risks:

• Market Risk: All investments can lose value due to market conditions
• Leverage Risk: Leveraged products can amplify losses beyond your initial investment
• Liquidity Risk: Some markets may have limited liquidity affecting execution
• Technology Risk: System failures or connectivity issues can impact trading

Not Investment Advice

TradeMetrix and its team:

• Are not registered investment advisors or broker-dealers
• Do not provide personalized investment recommendations
• Do not guarantee any investment outcomes or profits
• Are not responsible for your trading decisions or results

Regulatory Compliance

You are responsible for:

• Complying with all applicable securities laws and regulations
• Understanding your tax obligations for trading activities
• Ensuring you are authorized to trade in your jurisdiction
• Meeting any minimum age or financial requirements for trading

💳 Subscription & Billing

Subscription Plans

TradeMetrix offers the following subscription tiers:

• Free Plan: Limited to last 10 trades with basic analytics
• Basic Plan: $9.99/month - API sync, advanced charts, unlimited history
• Pro Plan: $19.99/month - All features including news, exports, advanced analytics

Billing Terms

All subscriptions are processed through the Apple App Store:

• Billing occurs automatically through your Apple ID payment method
• Subscriptions renew automatically unless cancelled 24+ hours before renewal
• Price changes require 30 days advance notice
• Refunds are subject to Apple's App Store refund policy

Free Trial

• New users receive a 7-day free trial of Premium features
• Cancel anytime during trial to avoid charges
• Trial automatically converts to paid subscription if not cancelled
• Only one free trial per Apple ID

Cancellation

You can cancel your subscription anytime through your Apple App Store settings. Upon cancellation:

• Premium features remain active until the end of the billing period
• Your account reverts to the Free plan automatically
• Data is retained but some features become unavailable
• You can resubscribe at any time to regain full access

👤 User Responsibilities

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Keeping your broker API credentials secure
• Using strong passwords and enabling device security features

Accurate Data Entry

When manually entering trade data, you agree to:

• Provide accurate and complete trade information
• Verify imported API data for accuracy
• Not manipulate data to misrepresent trading performance
• Take responsibility for any errors in manual entries

Appropriate Use

You agree not to:

• Use the App for any illegal activities
• Attempt to hack, disrupt, or damage the service
• Share your account credentials with others
• Reverse engineer or copy the App's functionality
• Use the service to violate any broker terms of service

Broker API Usage

When connecting broker APIs, you represent that:

• You have authorization to connect your brokerage account
• You comply with your broker's API terms of service
• You understand the security implications of API connections
• You will monitor and revoke API access if needed

TradeMetrix Intellectual Property

The TradeMetrix app, including its algorithms, user interface, analytics, and branding, is protected by intellectual property laws. You may not:

• Copy, modify, or distribute the App or its components
• Use our trademarks or branding without written permission
• Create competing applications based on our features
• Reverse engineer or extract our proprietary algorithms
• Remove or alter any copyright or proprietary notices

Your Trading Data

You retain ownership of your trading data and journal entries, but grant us necessary licenses to:

• Store and process your data to provide analytics services
• Generate performance reports and calculations
• Backup your data for account recovery purposes
• Use anonymized, aggregated data to improve our algorithms

Market Data

Market data provided through TradeMetrix is licensed from third-party providers and subject to their terms:

• Data is for personal use only within the App
• Redistribution of market data is prohibited
• Real-time data may be subject to additional fees
• Data accuracy is not guaranteed

🔧 Service Availability & Limitations

Service Uptime

We strive to maintain high service availability but cannot guarantee uninterrupted access. Services may be unavailable due to:

• Scheduled maintenance and updates
• Technical issues or system failures
• Third-party service provider outages
• Force majeure events beyond our control

Data Accuracy Limitations

• API Data: Dependent on broker data feeds and their accuracy
• Market Data: Subject to delays and third-party data provider limitations
• Calculations: Based on data provided; accuracy depends on input quality
• News & Calendar: Third-party content not guaranteed to be complete

Service Modifications

We reserve the right to modify or discontinue any part of TradeMetrix with reasonable notice:

• Feature changes require 30 days advance notice
• Service discontinuation allows for data export
• Pro-rated refunds for discontinued paid features
• Core analytics functionality maintained whenever possible

⚠️ Limitation of Liability

Disclaimer of Warranties

TradeMetrix is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties including:

• Accuracy of trading calculations or analytics
• Uninterrupted or error-free operation
• Compatibility with all devices or brokers
• Fitness for any particular trading strategy
• Non-infringement of third-party rights

Limitation of Damages

To the maximum extent permitted by law, TradeMetrix and its affiliates shall not be liable for:

• Trading losses or missed trading opportunities
• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount paid for the service in the past 12 months
• Failures due to third-party services, broker APIs, or market data providers

Indemnification

You agree to indemnify and hold harmless TradeMetrix from any claims arising from:

• Your use of the App or violation of these Terms
• Your trading activities or investment decisions
• Violation of any third-party rights or applicable laws
• Unauthorized access to your account due to your negligence

🚪 Termination

Termination by You

You may terminate your account at any time by:

• Deleting your account through the App settings
• Cancelling your subscription through the App Store
• Uninstalling the App (account remains for 30 days)
• Contacting support for assistance with account closure

Termination by TradeMetrix

We may suspend or terminate your account for:

• Violation of these Terms of Service
• Fraudulent or abusive behavior
• Non-payment of subscription fees
• Illegal use of the service
• Creating security risks or system abuse

Effect of Termination

Upon account termination:

• Your right to use TradeMetrix ends immediately
• All broker API connections are automatically revoked
• Data is retained for 30 days for potential recovery
• You may export your data before permanent deletion
• Outstanding subscription fees remain due

Survival of Terms

The following provisions survive account termination:

• Intellectual property rights and licenses
• Limitation of liability and disclaimers
• Indemnification obligations
• Governing law and dispute resolution

⚖️ Legal Provisions

Governing Law

These Terms are governed by and construed in accordance with the laws of Delaware, United States, without regard to conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or your use of TradeMetrix shall be resolved through:

• Informal Resolution: Good faith negotiation for 30 days
• Binding Arbitration: Individual arbitration under Delaware Arbitration Rules
• Class Action Waiver: No class actions or representative proceedings
• Jury Trial Waiver: Both parties waive right to jury trial

Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect. Unenforceable provisions will be replaced with enforceable terms that most closely reflect the original intent.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, cyberattacks, or third-party service failures.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TradeMetrix, superseding all prior agreements and understandings.
